The U.S. Federal Trade Commission (FTC) has reportedly announced plans to block the proposed acquisition of UniFirst Corp. (UNF) by Cintas Corp. (CTAS). The deal, valued at approximately $5.5 billion in enterprise value, would have combined two leading providers of corporate uniform rental, cleaning, and related services. According to sources cited by foreign media, the FTC has notified both companies of its intention to pursue litigation to prevent the merger. The FTC’s concern centers on the potential for increased market concentration in the uniform services sector, which could raise antitrust issues. The announcement has already impacted the market. Cintas shares fell about 6% during the trading session, while UniFirst shares initially dropped 17% before narrowing to a decline of roughly 10%. Under the terms of the agreement announced in March, UniFirst shareholders would receive $155 in cash and 0.7720 shares of Cintas stock for each UniFirst share held. If the FTC’s action results in the deal being blocked, Cintas would be required to pay a $350 million “break‑up fee” to UniFirst. The FTC’s move reflects its broader scrutiny of mergers that could reduce competition in niche service markets. The outcome of the potential lawsuit remains uncertain, and both companies have not yet issued official statements regarding the FTC’s notice.
