Paramount Skydance has reached settlements with a coalition of 12 US states and the Writers Guild of America, clearing a significant legal path for its proposed 110 billion dollar merger with Warner Bros Discovery. The agreements resolve lawsuits that sought to block the transaction, which would create one of the largest media and entertainment entities in history.
As part of the settlement, Paramount has agreed to establish independent editorial boards to oversee CNN and CBS. This measure aims to address concerns regarding potential political influence over news coverage, particularly given the ties between Paramount Skydance owner Larry Ellison and US President Donald Trump. The company is led by David Ellison.
The settlement also includes specific operational commitments. According to reports, Paramount must produce at least 30 movies per year or face a 30 million dollar penalty. Additionally, the agreement includes protections for journalists at CBS and CNN, including headcount requirements for both news organizations. The deal with the Writers Guild of America reportedly includes concessions for workers.
The resolution of these legal challenges allows Paramount to avoid a 7 million dollar daily fee owed to Warner Bros shareholders if the merger is finalized by September 30. While the Trump administration had previously cleared the merger, the lawsuits from state attorneys general and the writers union had stalled the process.
The move has drawn criticism from some free speech advocates. Seth Stern, director of advocacy at the Freedom of the Press Foundation, characterized the independent editorial boards as a weak measure, questioning the constitutionality of government-mandated oversight of news content.
Following the announcement, shares of Warner Bros Discovery rose 11 percent, while Paramount Skydance stock experienced volatility, closing down 3 percent after an initial increase. Paramount did not immediately respond to requests for comment regarding the settlements.
