Moltex’s prospective buyer ends attempt to raise $50M for purchase

Nuclea Energy Inc., the prospective buyer of Moltex Energy Canada, has ended its attempt to raise $50 million for the purchase. The Ontario-headquartered company had planned to use the funds to acquire Moltex’s small modular nuclear reactor technology, which has been stalled in its parent company’s receivership for over a year.

Instead, Nuclea Energy has announced a merger with Mangoceuticals, Inc., a Dallas-based telemedicine company that specializes in men’s health and wellness products, including treatments for erectile dysfunction, hair loss, and weight management. The move is intended to provide Nuclea with quicker access to capital.

According to Nuclea CEO Josef Freundorfer, the merger will give the company a faster path to the public markets and allow it to advance its Morpheus Microreactor technology. Mangoceuticals CEO Jacob Cohen stated that the company believes advanced nuclear and micro reactors will be crucial in meeting the surging power demand from AI and data centers.

Despite the new development, negotiations between Nuclea and Moltex are ongoing. Moltex CEO Rory O’Sullivan confirmed that the companies are still in exclusive negotiations, but directed questions on funding sources and plans to Nuclea. Nuclea president Sagar Sanghera also stated that the company is still in exclusivity with Moltex, but did not provide further details on how a deal would be financed.

The pending sale of Moltex to Nuclea was revealed in Nuclea’s filing for an initial public offering on the New York Stock Exchange in April. The filing stated that the company planned to use the proceeds from the sale of shares to acquire Moltex’s assets, including its efforts to build a small modular reactor in New Brunswick.

Azets Holdings Ltd., the accounting firm serving as the insolvency administrator for Moltex’s UK-based parent company, confirmed that sale negotiations with Nuclea are ongoing. The company’s spokesperson, Shaun Staff, stated that “sale negotiations with the preferred purchaser remain ongoing.”

Nuclea’s merger with Mangoceuticals is expected to provide the company with a public listing on the Nasdaq, allowing it to access capital and accelerate the development of its reactor technology. The transaction is seen as a strategic move to bring Nuclea’s Morpheus Microreactor to the public markets amid growing demand for power from AI and data centers.
